6. Fees and Payment

Customer agrees to indemnify and hold harmless Autoscope from any claims, liabilities, damages, and expenses arising from their use of the Services or violation of these Terms.

Autoscope reserves the right to terminate or suspend access to the Services for any reason, including breach of these Terms.

11. Governing Law

These Terms are governed by the laws of the state of Delaware, without regard to its conflict of laws principles.

12. Special Terms

12.1 Special Terms: Autoscope may offer certain special terms which are indicated in the Order Form and will become part of this Agreement, upon Customer’s prior written consent and the mutual execution by authorized representatives (“Special Terms”). To the extent that any terms of this Agreement are inconsistent or conflict with the Special Terms, the Special Terms shall control.

12.2 Publicity: Upon prior written consent, Autoscope has the right to reference and use Customer’s name and disclose the nature of the Services in business and development and marketing efforts (unless specified otherwise by user). Nothing contained in this Agreement shall be construed as conferring on any Party, any right to use the other Party’s name as an endorsement of product/service.

12.3 Feedback: If Customer or Authorized End User provides any suggestions, ideas, enhancement requests, feedback, recommendations, or other information relating to the subject matter hereunder, Customer or Authorized End User hereby assigns to Autoscope Labs Inc. all right, title, and interest (including intellectual property rights) with respect to or resulting from any of the foregoing.
